Terms of Service

Draft — not yet reviewed by legal counsel. This document is a structured starting point written to cover the obligations a Canadian SaaS business typically carries. It has not been reviewed by a lawyer and must not be relied on as legal advice. Have counsel review it before launch. The version string above is real: it is recorded against every account that accepts these terms.
1. About these terms
These Terms of Service ("Terms") are an agreement between you and MaterialDocket ("MaterialDocket", "we", "us") covering your use of the MaterialDocket estimating and procurement platform (the "Service").
By creating an account, you confirm that you have read and agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a company, you confirm that you have the authority to bind that company, and "you" means that company.
If you do not agree, do not create an account.
2. Accounts
- You must be at least 18 years old and able to enter into a binding contract.
- You are responsible for the accuracy of the information you provide when registering your company.
- You are responsible for keeping your password confidential and for all activity under your account. Tell us promptly if you believe your account has been accessed without your authorization.
- An account belongs to one company. Owners may invite team members, and are responsible for the conduct of everyone they invite.
3. Subscription and fees
- The Service is offered on a monthly subscription at CAD $150 per month per company account, plus applicable taxes.
- Fees are billed monthly in advance and renew automatically until cancelled.
- Your subscription must be active for your team to use the Service. If a payment fails or a subscription lapses, access is suspended until it is restored. Your data is retained during suspension as described in section 10.
- You may cancel at any time from your account settings. Cancellation takes effect at the end of the billing period you have already paid for.
- Except where required by law, fees already paid are non-refundable.
- We may change our prices. We will give you at least 30 days' notice before a price change takes effect, and the change will apply from your next renewal.
4. Your data
You own the data you put into the Service — your clients, projects, estimates, inventory, supplier relationships, and everything else you enter or upload ("Your Data").
You grant us only the licence we need to operate the Service for you: to host, process, transmit, back up, and display Your Data so the Service works, and so we can provide support when you ask for it.
We do not sell Your Data. We do not use Your Data to train machine learning models. How we handle personal information is described in the Privacy Policy.
One exception, stated plainly. MaterialDocket maintains a shared registry of supplier companies — legal names, domains, and branch addresses — so that every contractor on the platform sees one canonical record for a given supplier rather than a private duplicate. Facts you contribute to that registry are visible to other MaterialDocket users. Everything about your relationship with a supplier — your nickname for them, your contacts, your notes, and your negotiated prices — stays private to your company. Your clients are never added to the registry.
5. Acceptable use
You agree not to:
- use the Service to break the law, or to infringe anyone's rights;
- upload malware, or attempt to gain unauthorized access to the Service, to another company's data, or to any system connected to it;
- probe, scan, or test the security of the Service without our written consent;
- resell or white-label the Service without our written agreement;
- misrepresent a supplier or company in the shared registry, or use the registry to harvest contact information for bulk solicitation;
- use the Service to send messages that would breach Canada's Anti-Spam Legislation.
We may suspend an account that we reasonably believe is being used this way.
6. Estimates and other documents you create
The Service helps you produce estimates, quotes, and related documents. Those documents are yours. MaterialDocket is not a party to any agreement between you and your clients or suppliers, and does not review, approve, or guarantee the pricing, quantities, or terms in anything you produce.
You are responsible for checking your own numbers before you send a document to a client.
7. Availability, support, and changes
We aim to keep the Service available, but we do not promise uninterrupted service. We may need to take the Service down for maintenance, and we will try to do so at times that inconvenience the fewest people.
We may add, change, or remove features. If we remove or materially reduce a feature you rely on, we will give reasonable notice.
8. Intellectual property
The Service itself — the software, design, and documentation — belongs to MaterialDocket and our licensors. These Terms do not transfer any of that to you. Feedback you send us may be used freely, without obligation to you.
9. Disclaimers and limitation of liability
Except as expressly stated in these Terms and to the fullest extent permitted by applicable law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
To the fullest extent permitted by applicable law, our total liability arising out of or relating to these Terms or the Service, in aggregate, will not exceed the fees you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost revenue, or lost business opportunities.
Nothing in these Terms limits liability that cannot be limited under applicable law, including consumer protection legislation that applies to you.
10. Suspension, termination, and your data afterwards
You may close your account at any time.
We may suspend or terminate an account for a material breach of these Terms, for non-payment, or where we are required to by law. Except where a delay would cause harm or is legally prohibited, we will give notice and a reasonable chance to fix the problem first.
After your account is closed you may export Your Data for 30 days. After that we delete or irreversibly anonymize it, except where we are required to retain something by law — for example, tax records, and the consent records described in the Privacy Policy.
11. Changes to these Terms
We may update these Terms. When we make a material change, we will bump the version above, publish the updated Terms, and ask you to accept them the next time you sign in. Continuing to use the Service after a material change means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
To confirm before launch: the governing province above is a placeholder and should match where MaterialDocket is actually incorporated.
